Terms of Service

These Terms of Service ("Terms") govern your use of getshipdesk.com and the services offered by Agentic Desk ("we", "us"), including Shipdesk Review Replies (the "Service"). By creating an account, starting a trial, subscribing or using the Service, you agree to these Terms. If you use the Service for a business, you confirm you are authorized to accept these Terms on its behalf.

1. The Service

Shipdesk Review Replies drafts replies to your Google reviews in a tone you set, posts replies to your Google Business Profile according to your settings (for example, auto-posting replies to positive reviews and holding others for your approval), and sends you review reports. Some features may be marked as early access or "rolling out", and we may add, change or remove features over time.

2. Your account

You must give us accurate information and keep your login and contact details current. You are responsible for activity under your account. You must be at least 18 years old and able to form a binding contract.

3. Connecting Google

You may connect only Google Business Profiles that you own or are authorized to manage. You grant us permission to read reviews and post, edit or delete replies on those profiles according to your settings. Your use of Google's services remains subject to Google's terms, and you can revoke our access at any time, as described in our Privacy Policy. We are not affiliated with or endorsed by Google.

4. Subscriptions, trials and billing

• Plans. Paid plans (such as Starter and Pro) are billed in advance on a recurring monthly basis at the price shown when you subscribe, plus any applicable taxes. Payments are processed by Stripe.
• 14-day free trial. Starter and Pro include a 14-day free trial. Your trial starts when your Google Business Profile is connected and the Service begins working for you, not when you sign up. If you have not added a payment method by the end of the trial, your subscription will not continue. If you have, your paid subscription begins automatically when the trial ends, unless you cancel first. One trial per business.
• Renewal. Subscriptions renew automatically each billing period until cancelled.
• Price changes. We will give you at least 30 days' notice by email before a price change applies to your subscription.
• Failed payments. If a payment fails, we may pause or suspend the Service until it is resolved.

5. Cancellation and refunds

You can cancel anytime through Stripe's billing portal, or by emailing shipdesk@agentmail.to and we will cancel it in Stripe for you. Cancellation takes effect at the end of your current billing period, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. If you cancel during your trial, you will not be charged.

6. Acceptable use

You agree not to use the Service to:

• post replies that are false, misleading, defamatory, harassing, discriminatory or otherwise unlawful;
• disclose private information about reviewers or customers, including health information (for example, confirming someone is a patient);
• offer incentives in exchange for reviews, write fake reviews, or otherwise break Google's policies for Business Profiles and reviews;
• access profiles you are not authorized to manage;
• interfere with, overload, reverse-engineer or attempt unauthorized access to the Service, or resell it except under a written agency agreement with us.

We may suspend or terminate accounts that violate these rules.

7. Your content and responsibility for replies

You keep ownership of your content, including your tone settings and the replies posted under your business name. You give us a limited license to use that content only to provide the Service. Replies are drafted with AI and can contain mistakes. You are responsible for the replies posted to your profile, including replies auto-posted under the settings you choose, and you should review your settings and drafts. You can pause auto-posting at any time.

8. No guarantee of outcomes

We do not guarantee any particular result from using the Service, including any change in your star rating, number or content of reviews, search ranking, customer response, or revenue. We do not control Google, and we are not responsible for Google's decisions to display, filter, remove or delay reviews or replies, or for changes to or outages of Google's services and APIs.

9. Privacy

Our Privacy Policy explains how we collect and use information, including data we receive from Google APIs.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, Agentic Desk will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnity

You agree to indemnify and hold Agentic Desk harmless from claims arising from your content, replies posted to your profiles, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or end your access if you breach these Terms, if required by law, or if we discontinue the Service, in which case we will give reasonable notice where possible and refund any prepaid fees for the unused period. Sections that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and notify you by email or on the site before they take effect. Continuing to use the Service after that means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Agentic Desk is established, without regard to conflict-of-law rules, except where the law of your place of residence requires otherwise.
